Fox changes legal chief during $22B Roku deal

Fox Corp. is changing its top legal officer at a delicate moment. Adam Ciongoli, chief legal and policy officer, will not renew his contract and will step down from the role on Dec. 1. He will remain a special adviser to the company through June 2028.

Nicholas Trutanich, currently executive vice president and principal deputy general counsel, becomes general counsel and will report directly to executive chair and CEO Lachlan Murdoch.

Why the timing matters

The transition lands while Fox’s $22 billion deal to buy streaming platform Roku remains pending. Shareholders of both companies have approved the agreement, but the deal still needs Justice Department clearance. Fox and Roku expect the close to happen in the first half of 2027.

For media planners and streaming operators, that makes the general counsel role more than a corporate formality. The legal office is central to regulatory clearance, merger conditions, and post-close integration. A planned handover, with Ciongoli retained through mid-2028, reads as a continuity move rather than a sudden exit.

What changes in the reporting line

Trutanich takes the expanded role after five years at Fox. He served as U.S. Attorney for the District of Nevada from 2019 to 2021 and previously held senior roles at the Nevada attorney general’s office and the DOJ.

Ciongoli joined Fox in 2023 after serving as general counsel at Campbell Soup Co., Lincoln Financial Group, and Time Warner Europe. In a statement, Murdoch said Trutanich “will bring deep legal, litigation and compliance experience” to the role.

  • Ciongoli steps down Dec. 1 and advises Fox through June 2028.
  • Trutanich becomes general counsel and reports to Lachlan Murdoch.
  • Kristopher Jones, EVP and head of government relations, will report to president and COO John Nallen from Dec. 1.

What media planners should watch

The Fox-Roku deal, if cleared, would combine Fox’s news, sports, and Tubi assets with Roku’s streaming platform. A legal leadership change is not by itself a sign that the transaction is off course, but it concentrates attention on the DOJ review and the integration that follows.

The signals worth tracking are the clearance timeline, any conditions attached to approval, and how Trutanich’s team frames the integration. Ciongoli’s long advisory runway is a deliberate handoff, not an abrupt break.
