26M-download Kidoodle.TV up for sale, bids due Nov 20

Children’s AVOD service Kidoodle.TV is formally up for sale. Court-appointed receiver AlixPartners is soliciting offers to buy, invest in, restructure or recapitalise the business, and rival bids are due by November 20.

The sale is part of a receivership for parent company A Parent Media Co (APMC) and Kidoodle Inc, which began about seven weeks ago. The process gives potential buyers a short window: they are bidding against a stalking-horse offer already on the table.

A floor set mostly with debt, not cash

The baseline offer comes from a group of APMC lenders who are also directors of the company. Under its terms, US$2m would go toward debt owed to the Bank of Montreal, the buyer would assume the remaining BMO debt, and a US$4m credit bid would let the group use its existing debt claim against APMC as part of the purchase price. Kidoodle’s assets themselves are valued at a nominal US$1 in the offer, although the wider transaction includes cash payments and assumed debt.

The bidder group is represented by Dino DeLuca, partner and chief operating officer at TriWest Capital Partners, which invested in APMC in 2022. The lenders advanced US$2m in June in exchange for a debt note with a principal value of US$4m. If the deal closes, that debt would be treated as fully repaid.

How a sports bet put a kids service in receivership

APMC’s crisis followed the collapse of Victory+, an AVOD sports streamer that pursued NHL and MLB rights, including games involving the Dallas Stars, Anaheim Ducks and Texas Rangers. Teams began terminating deals earlier this year, CEO Neil Gruninger left, and the service went offline.

Kidoodle.TV, however, remains operational. Launched in 2014 and available in about 160 territories, it has built a child-safe positioning as an alternative to algorithm-driven general entertainment. AlixPartners says the platform has recorded more than 26 million lifetime app downloads.

What is actually being sold

  • A functioning kids AVOD platform with direct audience reach.
  • APMC’s proprietary advertising technology, including tools built for children’s privacy compliance.
  • A flexible sale process: all assets, a recapitalisation, restructuring, or offers for individual assets.

Why the Nov 20 deadline matters

For streaming professionals and media buyers, Kidoodle is not simply a distressed asset. It is an operating service with scale, a clear child-safe brand and ad infrastructure that already accounts for children’s privacy rules. Any change of control could quickly shift advertising policy, content strategy and territory expansion plans. The receiver will consider rival bids against the lender-led floor, and interested parties need to decide before the court-approved deadline.
